1Acceptance and scope
These Terms govern use of the ALC-Scientific website. Browsing the website does not by itself create a contract for purchase. A sale, supply, OEM, installation, support or service contract arises only through an accepted quotation, order confirmation, signed agreement or other clear written acceptance.
Separate commercial documents may contain additional or different terms. For a transaction, the signed or accepted documents take precedence over general website wording.
2Website purpose and product information
The website supports product discovery, brochure access, quote-list preparation and enquiry submission. It is not currently an online checkout or payment platform.
- Product images may be representative and may show optional, model-dependent or earlier configurations.
- Availability, appearance, specifications, accessories and documentation can vary by model and supply source.
- Only the approved model datasheet, quotation and order confirmation define the final supply.
- Website content should not be used as the sole basis for safety-critical, diagnostic, clinical, regulatory or validated process decisions.
3Quotations and commercial precedence
A quotation may state its validity, model, configuration, quantity, price, taxes, freight, insurance, packaging, installation, training, documentation, payment schedule, delivery estimate, exclusions and warranty scope. Terms not included in the quotation are not automatically included.
The approved quotation, accepted purchase order as acknowledged by ALC-Scientific, order confirmation and written clarifications together form the commercial record. In case of conflict, a later expressly agreed written document normally prevails.
4Orders and acceptance
A purchase order is an offer to buy and is subject to technical, commercial, credit, compliance and availability review. ALC-Scientific may request clarification, corrected documents, advance payment, end-use information or technical approval before accepting an order.
No order is accepted merely because an enquiry, purchase order or payment instruction has been submitted. Acceptance occurs through an order confirmation, countersigned agreement, performance clearly indicating acceptance or another written method stated in the quotation.
5Product specifications and changes
Specifications are model- and configuration-dependent. The approved datasheet and quotation control. ALC-Scientific may correct typographical or website errors before order acceptance.
After contract formation, no material change that reduces agreed performance or changes essential scope will be made without appropriate customer consent. Non-material engineering changes may be made where they preserve the agreed function, safety and performance and are permitted by the contract.
Custom and OEM products require approved drawings, specifications, artwork or samples as applicable.
6Pricing, taxes and additional costs
Prices, currency, GST, duties, freight, packing, insurance, installation, calibration, validation, training and other charges apply only as stated in the quotation or invoice. Website content does not constitute a price offer unless expressly stated.
Prices may change before order acceptance due to specification, quantity, exchange rate, tax, freight, supplier or regulatory changes. After acceptance, changes require contractual justification or agreement.
7Payment terms and invoice issues
Advance, milestone, balance, credit and banking terms are stated in the accepted commercial documents. No universal interest rate or late-payment penalty is published on this website.
Customers should raise invoice, quantity, tax or specification disputes promptly with supporting details. Tax deductions and certificates must follow applicable law and the accepted transaction documents. Bank and remittance charges are allocated as stated in the quotation or banking instructions.
8Delivery, delay and partial supply
Delivery dates are estimates unless expressly guaranteed in writing. Timelines may depend on technical approval, payment, artwork, import availability, customer information, site readiness, inspection and logistics.
Partial delivery may be made where allowed by the accepted documents. Customer-caused delay, inability to access the site or failure to provide approvals may extend time and create storage, re-delivery or mobilisation costs after notice. Force-majeure events are addressed below.
9Risk, title and transit
The point at which risk, ownership and transit responsibility transfer is transaction-specific and must be stated in the accepted quotation, invoice, delivery terms or written agreement. Customers should not assume that payment, dispatch, delivery or installation automatically has the same legal effect for every order.
10Inspection, delivery condition and acceptance
Customers should inspect packaging and visible condition on delivery, record shortages or transit damage with the carrier, and notify ALC-Scientific promptly with photographs and delivery documents.
Installation or commissioning records may document functional acceptance, but do not remove rights relating to latent defects, warranty obligations or mandatory law. Silence is not treated as acceptance where that would be unlawful or inconsistent with the contract.
11Cancellations, returns and refunds
There is no single website-wide cancellation, return or refund window. The applicable rule depends on the product, transaction stage and accepted documents.
- Standard stocked products may be returnable only with written authorization and agreed condition, freight and restocking terms.
- Custom, made-to-order, imported, configured, calibrated, validated, sterile, opened consumable, OEM or private-label products may be non-cancellable or subject to documented costs once work or procurement has begun.
- Incorrect supply, transit damage and verified defects are handled according to the contract, Warranty Policy and applicable law.
- Any statutory consumer right that applies is preserved and is not overridden by a no-return statement.
No return should be sent without authorization and safe packing or decontamination where required.
12Installation, training and customer site readiness
Where installation, commissioning or training is included, its scope, location, number of visits, exclusions and deliverables will be documented. The customer must provide safe access, qualified representatives, suitable space, electrical supply, earthing, ventilation, water, drain, gas, vacuum, compressed air, network access and permissions as required for the selected model.
Operator orientation does not replace the customer’s own safety assessment, SOPs, validation, regulatory training or competent supervision.
13OEM and private-label projects
OEM and private-label work is subject to technical feasibility, minimum order quantity, approved specification, artwork, packaging, compliance responsibility, production tolerances, forecasts and payment terms.
- Customers must have authority to use all trademarks, artwork, instructions and claims they provide.
- Exclusivity, territory protection and ownership of custom tooling or designs apply only by written agreement.
- Regulatory registrations, market authorizations and local compliance responsibilities must be allocated in writing.
- Prototype or pre-production approval may be required before volume manufacture.
- Confidentiality applies only under an applicable confidentiality clause or agreement.
14Intellectual property
ALC-Scientific website text, original images, branding, brochures, layouts, drawings, manuals and software are protected to the extent owned or licensed. They may not be reproduced, altered, republished or used commercially without permission, except as allowed by law.
Third-party trademarks and materials remain the property of their respective owners. ALC-Scientific does not claim ownership of third-party rights.
15Acceptable website use
Users must not attempt unauthorized access, introduce malware, interfere with security, submit fraudulent enquiries, impersonate another person, infringe rights, overload the service, or use automation in a way that disrupts operation or extracts protected content at an unreasonable rate.
This clause does not prohibit lawful indexing, accessibility tools, good-faith communication, legitimate research or rights that cannot lawfully be restricted.
16Third-party services and links
The website links to WhatsApp, telephone and email services and may link to external manufacturers, maps, logistics, payment or social platforms in future. External services operate under their own terms and privacy practices. ALC-Scientific is not responsible for an external service merely because it is linked, while remaining responsible for its own legal obligations.
17Warranties and disclaimers
Product warranties are governed by the Warranty Policy and product-specific commercial documents. Website information is provided with reasonable care but may contain typographical, availability or model-transition errors.
No disclaimer removes a mandatory representation, agreed specification, statutory right or liability that cannot be excluded.
18Liability and application responsibility
To the extent permitted by law and the governing contract, liability allocation should be proportionate to the transaction and may distinguish direct loss from indirect or consequential loss, business interruption, sample loss, data loss, validation cost, application misuse and customer modification.
Customers remain responsible for product selection information they provide, safe use, sample compatibility, SOPs, trained operators, backups, regulatory approvals and decisions outside the agreed scope. Nothing excludes liability for fraud, wilful misconduct, prohibited personal-injury exclusions, mandatory product liability or statutory consumer rights.
19Customer-provided materials and indemnity
Where permitted by the accepted contract, a customer may be responsible for third-party claims caused by unlawful website use, unauthorized branding, customer-provided designs or claims, infringement in customer materials, or regulatory instructions controlled by the customer. Any indemnity must be interpreted narrowly, reasonably and subject to applicable law.
20Force majeure
A party is not responsible for delay caused by an event beyond its reasonable control, such as natural disaster, epidemic, war, government restriction, port or transport disruption, labour disruption, utility failure, cyber incident, supplier shutdown or import restriction, provided it takes reasonable steps to reduce the impact and communicates material delay.
Force majeure does not excuse payment already due for goods or services supplied and does not continue indefinitely where termination rights arise under the accepted contract or law.
21Governing law and dispute process
These website Terms are governed by applicable laws of India. The parties should first attempt good-faith commercial resolution through documented escalation.
A specific court jurisdiction, mediation process or arbitration arrangement applies only where stated in an accepted quotation, purchase-order acceptance or signed agreement. In all other cases, disputes are governed by applicable Indian law and the jurisdiction determined under that law.
22Changes, notices and contact
These Terms may be updated to reflect changes in operations, law or website features. The current version and effective date will be published on this page. Material changes should be communicated through a reasonable channel where they affect an active relationship.
